What is a director change (CoR39)?

CIPC keeps a public record of who runs every company. When that changes, the company has to update the record by filing a notice of change of directors, known as a CoR39.

You need to file one when a director is appointed, resigns, is removed or passes away, and when a director's recorded details such as name, identity number or address change. Banks, funders and tender portals check CIPC's record, so a record that doesn't match your company's real position tends to hold things up.

How long do you have? The 10-business-day rule

The company must notify CIPC within 10 business days of the director becoming or ceasing to be a director, or of the director's details changing.

What you need to change a director

Appointing a director

  • ✓ A signed resolution that follows your Memorandum of Incorporation
  • ✓ A certified copy of the new director's ID, or a passport for non-residents
  • ✓ The director's contact and address details, plus proof of address for foreign directors
  • ✓ The effective date of the appointment
  • ✓ A signed mandate for the person who will file

A director resigning or being removed

  • ✓ Written notice of resignation, or the resolution and notice for a removal
  • ✓ The effective date of the change
  • ✓ Access for the affected director to confirm the change with the one-time PIN CIPC sends

A director's details have changed

  • ✓ The updated details and a certified ID copy that matches them

How a director change works, step by step

  1. 1

    Pass the resolution

Record the appointment, resignation or removal the way your Memorandum of Incorporation requires.

  2. 2

    Gather and check the documents

Names, ID numbers and dates need to match across every document, or CIPC can send the filing back.

  3. 3

File the CoR39 on CIPC eServices

CIPC verifies the person filing and the directors affected, including a one-time PIN and a check of the ID issue date.

  4. 4

    CIPC processes the change

Once approved, CIPC issues an updated CoR39 showing the current directors.

  5. 5

    Update your own records

Update your register of directors and tell your bank and any regulators you report to.

Replacing your only director?

Appoint the new director first. A company can't be left without one, and a public or non-profit company needs at least three.

How long does it take, and what does it cost?

Once CIPC has everything it needs, processing usually takes a few business days. It takes longer if a document is queried or a director has not completed their verification.

CIPC's prescribed filing fee for the CoR39 notice is nil. A service provider's fee applies if you use one. Reg Assistance charges a fixed fee, and a free account shows you the price straight away, along with a portal to submit and track your request.

Does a director change affect anything else?

Often it does. If the director you are adding or removing also holds 5% or more of the company, or controls it in another way, your beneficial ownership declaration has to be updated within the same 10 business days. A change of directors can also affect your bank mandate and any registrations with regulators.

If your company is behind on its annual return, it is worth sorting that out in the same exercise, since CIPC checks that your records are consistent.

Frequently asked questions

What is a CoR39 and when do I need to file one?

A CoR39 is the notice that updates CIPC's record of who the directors of your company are. You need one when a director is appointed, resigns, is removed or dies, and when a director's recorded personal details change.

How long do I have to notify CIPC of a director change?

The Companies Act requires the company to notify CIPC within 10 business days of the change. The clock runs from the date the appointment, resignation or removal takes effect.

What documents do I need to appoint a new director?

Typically a signed resolution that follows your Memorandum of Incorporation, a certified copy of the new director's ID (a passport for non-residents), their contact and address details, the effective date of the appointment, and a signed mandate for the person filing. Foreign directors also need proof of address.

What happens when a director resigns?

The director gives written notice and the company records the effective date. CIPC verifies the resignation by sending the resigning director a one-time PIN to confirm it. The company then files the change within 10 business days.

Can a private company have just one director?

Yes. A private company can have a single director. Public companies and non-profit companies need at least three. If your only director is resigning, a replacement needs to be appointed so the company is never left without one.

Does changing a director affect my beneficial ownership filing?

It can. If the incoming or outgoing director also holds 5% or more of the company, or exercises effective control over it, your beneficial ownership declaration needs to be updated within 10 business days of the change as well.

How long does a director change take?

Once CIPC has everything it needs, processing usually takes a few business days. It takes longer if CIPC queries a document or a director's verification is not completed.

How much does it cost to change a director?

CIPC's prescribed filing fee for the CoR39 notice is nil. If you use Reg Assistance, you pay our fixed service fee for preparing and filing it. Create a free account to see your price.
